End User License Agreement

Effective Date: March 9, 2026

This End User License Agreement ("EULA") is a binding legal agreement between you ("you" or "your") and Fix IT Technologies LLC, a limited liability company having its principal place of business in Las Vegas, Nevada ("Company," "we," or "our").

1. Grant of License

Subject to the terms of this EULA, we grant you a limited, non-exclusive, non-transferable, perpetual license to install and use QuadCode ("the Software") on up to two (2) computers that you personally own or control, for your personal or internal business use.

2. License Key

Your license key is personal to you and may not be shared, published, or transferred to any other person or entity. Each license key may be activated on up to two (2) machines. You may deactivate a machine to transfer the activation to a different machine.

3. Restrictions

You may not:

Copy, modify, or distribute the Software except as expressly permitted
Reverse engineer, decompile, or disassemble the Software
Remove or alter any proprietary notices, labels, or marks
Sublicense, rent, lease, or lend the Software to any third party
Use the Software to develop a competing product
Circumvent or disable any licensing or copy-protection mechanisms

4. Ownership

The Software is licensed, not sold. Fix IT Technologies retains all right, title, and interest in and to the Software, including all intellectual property rights.

5. Third-Party Components

The Software may launch or interface with third-party AI services and command-line tools (including but not limited to Claude, Gemini, Codex, Aider, and GitHub Copilot). Your use of such tools is subject to their respective terms of service and license agreements. We make no representations or warranties regarding third-party services.

6. Free Trial

The Software includes a 7-day free trial period beginning from your first use. During the trial, all features are available. After the trial period, a valid license key is required to continue using the Software.

7. Privacy

QuadCode does not collect, transmit, or store any code, commands, terminal output, or personal content. A machine fingerprint (one-way hash) is used solely for license management. See our Privacy Policy for details.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

9. Limitation of Liability

IN NO EVENT SHALL FIX IT TECHNOLOGIES LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE LICENSE.

10. Termination

This EULA is effective until terminated. Your rights under this EULA will terminate automatically if you fail to comply with any term. Upon termination, you must cease all use and destroy all copies of the Software.

11. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions.

12. Entire Agreement

This EULA constitutes the entire agreement between you and Fix IT Technologies LLC regarding the Software and supersedes all prior agreements and understandings.
